Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions (the "Affiliate Agreement") govern your participation ("you," "your," or "Affiliate") in the affiliate program (the "Affiliate Program") offered by Dinamon LLC, a Delaware (USA) company and owner of the website Registros.com ("Registros.com," "we," "our," or "us"). By enrolling in or participating in our Affiliate Program, you agree to be bound by this Affiliate Agreement, the Registros.com General Terms and Conditions ("General Terms"), the Privacy Policy, the Acceptable Use Policy, and any other policies referenced therein (collectively, the "Policies and Agreements"). These Policies and Agreements are available on our website. In the event of a direct conflict between this Affiliate Agreement and our General Terms, the Affiliate Agreement shall prevail solely with respect to matters specific to your participation as an Affiliate.

This Agreement has been drafted in both Spanish and English. In the event of discrepancies or divergent interpretations between the two versions, the English version shall prevail.

2. Acceptance of Terms

By registering for and/or participating in our Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Affiliate Agreement. If you do not agree, you must refrain from enrolling in or participating in the Affiliate Program. If you are already an Affiliate and do not agree with all the terms set out herein, you must immediately cease using your Affiliate Account, remove all links to Registros.com, and stop promoting our Services.

3. Definitions

  • Account (Affiliate Account): The online account you create to participate in the Affiliate Program.
  • Affiliate Materials: Content, logos, banners, and links provided by Registros.com for use by the Affiliate pursuant to this Agreement.
  • Services: All products and services offered through Registros.com, including domain registration, hosting, SSL certificates, and email services.
  • Visitor: Any person who clicks on your unique tracking URL and is directed to the Registros.com website.
  • Commission: The compensation payable to you under this Affiliate Agreement for eligible referrals that result in qualifying sales of Registros.com Services.

4. Enrollment in the Affiliate Program

a. Application: To apply to join the Affiliate Program, you must first register as a customer and then activate your Affiliate Account in the "Affiliates" section of your customer account. We reserve the right, at our sole discretion, to reject or revoke your application if we determine that your website, social media profile, or promotional methods are inappropriate or violate any applicable law or our Policies and Agreements.

b. Acceptance: Once accepted, you will receive access to your Affiliate Account and a unique tracking URL.

5. Affiliate Responsibilities

a. Accuracy of Information: You must provide truthful, accurate, and complete information when applying and must keep such information up to date. You must notify us of any changes immediately.

b. Promotional Methods: You must comply with all applicable laws, advertising standards, and this Affiliate Agreement when promoting our Services.

c. Content Standards: The content you use to promote Registros.com must not:

  • Promote discrimination based on race, religion, nationality, disability, gender, or sexual orientation.
  • Include explicit or obscene content.
  • Encourage violence, fraud, or other illegal activities.
  • Infringe the rights of third parties.
  • Violate our Acceptable Use Policy or the laws of any applicable jurisdiction.

d. Customer Standing: You must act in good faith to refer legitimate customers who pay for and maintain their accounts in compliance with our General Terms. We reserve the right to withhold or revoke Commissions derived from referrals that prove to be fraudulent, cancelled, or otherwise in violation of this Affiliate Agreement or any of our Policies and Agreements.

6. Prohibited Content and Conduct

We reserve the right to terminate this Affiliate Agreement and your participation in the Affiliate Program immediately and without notice if, in our sole judgment, your site or promotional activities involve:

  • Illegal Content or Activities: Including, without limitation, phishing, sending spam, hosting malware, or violating the rights of third parties.
  • Discriminatory or Hate-Promoting Material: Any content that promotes hate speech or violence.
  • Trademark Violations: Use of "Registros.com" or similar terms, including misspellings, in your primary domain or social media accounts without our express written consent.
  • Misrepresentation: Implying any association, collaboration, or affiliation beyond what is expressly contemplated in this Affiliate Agreement, or representing that the Affiliate speaks or acts on behalf of Registros.com.
  • Cookie Stuffing or Other Deceptive Techniques: Any attempt to generate traffic or sales artificially.

7. Commissions

a. Commission Structure: We will publish commission rates and tiers (if applicable) on our general affiliates page or in your Affiliate Account dashboard. These rates may vary depending on the type of Service sold, sales volume, or other factors.

b. Legitimate Sales: A sale will be considered legitimate if:

  • The referred customer reaches Registros.com through your unique affiliate link.
  • Payment is successfully processed and the customer remains active (e.g., without refunds, chargebacks, or violations of our General Terms) for at least thirty (30) days following the purchase.

c. Sale Rejection: Registros.com retains sole authority to determine the validity of any sale. We reserve the right to deny or reverse Commissions for sales we deem fraudulent, unauthorized, or otherwise in violation of this Affiliate Agreement.

d. Adjustments and Modifications: Registros.com reserves the right to modify commission rates or introduce performance-based commissions at any time. If you continue to participate in the Affiliate Program after any change, you will be deemed to have accepted such modifications.

8. Payments

a. Minimum Threshold: The Affiliate must accumulate a minimum of fifty US dollars (USD $50) in Commissions to be eligible for payment, unless otherwise stated in writing.

b. Payment Schedule: Commissions are paid monthly, generally on the 15th of each month, for commissions that have passed the holding period. A transaction is generally considered settled after thirty (30) days from the date of sale.

c. Payment Method: At this time, we only offer payment by bank transfer or as a credit deposit to your customer account balance. You are responsible for providing accurate payment information and for bearing any fees or additional costs charged by your payment provider or bank.

d. Tax Documentation: Registros.com reserves the right to require tax or identification forms (e.g., IRS Form W-8BEN or W-9) as applicable. Registros.com may withhold payment until the required documentation is received.

9. Affiliate Restrictions

a. Self-Referrals: Earning Commissions on your own accounts or on the accounts of anyone in your household is prohibited. Any such attempt will be considered fraudulent.

b. Coupons and Discount Codes: Only coupons or discount codes expressly issued for the Affiliate Program or specifically authorized by Registros.com may be used.

c. Trademark Bidding and Domain Use: Bidding on our trademarks, including "Registros.com," or any variations thereof, in pay-per-click campaigns or other search advertisements is strictly prohibited. Use of such trademarks (including misspellings) in your domain name or social media handles without prior written authorization is also not permitted.

d. Spam and Unsolicited Advertising: All forms of spam or unsolicited bulk email campaigns are strictly prohibited (see Section 10, Anti-SPAM Policy).

e. Prohibited Activities:

  • Cookie stuffing or link hijacking.
  • Use of iFrames or hidden frames to embed our site.
  • Making statements or representations that mislead or create confusion about Registros.com Services without our express written authorization.
  • Offering incentives such as cash rebates, gift cards, or other rewards for sign-ups, unless approved in writing.

10. Anti-SPAM Policy

We strictly prohibit any form of spam or unsolicited bulk email marketing. By participating in the Affiliate Program, you agree to comply with all applicable laws and regulations, including, without limitation, the CAN-SPAM Act of 2003 (for recipients in the USA). You must:

  • Not use false or misleading "From" or "Subject" information.
  • Include a valid physical postal address and an unsubscribe mechanism in each email.
  • Process unsubscribe requests within five (5) business days.
  • Refrain from using automatically harvested or purchased mailing lists.

Any violation of this Anti-SPAM Policy may result in the immediate cancellation of your Affiliate Account and the forfeiture of any unpaid Commissions.

11. Confidentiality

In the course of your participation in the Affiliate Program, you may have access to confidential information such as commissions, sales statistics, or other proprietary Registros.com data. You agree to protect such information with the same degree of care you use for your own confidential materials (but no less than a reasonable standard) and to use it solely for the purpose of fulfilling your obligations under this Affiliate Agreement.

12. Intellectual Property

a. License: We grant you a non-exclusive, revocable license to use our logos, trade names, trademarks, and other Affiliate Materials provided solely for the purpose of promoting Registros.com. All licensed material remains our property.

b. Restrictions: Altering, modifying, or misrepresenting the licensed material in any way is not permitted. Any goodwill arising from your use of our trademarks will accrue solely to our benefit.

c. License Termination: Upon termination of your Affiliate Account for any reason, you must immediately cease use of and remove all licensed materials from your website(s) and any other marketing channels.

13. Limitation of Liability

a. No Liability for Indirect Damages: Under no circumstances shall Registros.com (or its employees, agents, or partners) be liable for indirect, incidental, consequential, special, or exemplary damages (including, without limitation, loss of revenue, profits, business goodwill, or anticipated sales), even if we have been advised of the possibility of such damages.

b. Liability Cap: In no event shall our total liability exceed the total Commissions paid or payable to you under this Affiliate Agreement within the six (6) months preceding the claim.

c. Disclaimer: Except as expressly provided herein, we make no representations or warranties regarding the Affiliate Program, our website, or the products and services sold on it, whether express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

14. Indemnification

You agree to defend (through counsel of our choosing), indemnify, and hold harmless Registros.com, its officers, employees, agents, and affiliates from and against any claims, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your breach of this Affiliate Agreement.
  • Your misuse of the Affiliate Materials or any intellectual property rights of Registros.com.
  • Your violation of any law, regulation, or third-party right.

15. Term and Termination of the Affiliate Agreement

a. Term: This Affiliate Agreement enters into force once you accept it and will continue until either party terminates it.

b. Termination by the Affiliate: You may end your participation at any time by contacting us through your Affiliate Account or by submitting a support ticket.

c. Termination by Registros.com: We may suspend or terminate your Affiliate Account and/or this Affiliate Agreement immediately, with or without notice, if:

  • You or your affiliates violate this Affiliate Agreement, our General Terms, or any applicable law.
  • We detect fraud, misrepresentation, or any activity that may harm Registros.com or its customers.
  • We decide, at our sole discretion, to discontinue the Affiliate Program.

d. Effects of Termination of the Affiliate Agreement:

  • You must cease using any links or promotional materials that reference Registros.com.
  • Any pending or unpaid Commissions may be forfeited if termination is due to a breach on your part.
  • Provisions relating to liability, indemnification, confidentiality, intellectual property, and dispute resolution will survive termination.

16. FTC Compliance and Disclosure Requirements

You agree to comply with the Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), as well as analogous rules in other applicable jurisdictions. Any endorsement or review of Registros.com Services must include a clear and conspicuous disclosure of the material relationship between you and Registros.com (e.g., that you receive compensation for referrals).

17. Governing Law and Dispute Resolution

a. Governing Law: This Affiliate Agreement shall be governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

b. Dispute Resolution: Any dispute arising from or related to this Agreement shall be resolved in accordance with the arbitration procedures set out in Section 21 of the Registros.com General Terms of Use. By participating in this Affiliate Program, you agree to submit to binding arbitration in Kent County, Delaware, as specified therein.

c. Jury Trial Waiver: You and Registros.com expressly waive any right to a trial by jury for disputes related to this Affiliate Agreement.

18. Changes to the Affiliate Program Terms and Agreement

We reserve the right to modify or discontinue any aspect of this Affiliate Program, including modifying commission rates or payment structures, at any time. Any changes or modifications will take effect immediately upon posting on our website. Your continued participation in the Affiliate Program after such changes will be deemed acceptance thereof. If you disagree, your sole recourse is to terminate your participation.

19. Miscellaneous Provisions

  • Entire Agreement: This Affiliate Agreement, together with our General Terms and all incorporated Policies, constitutes the entire understanding between you and Registros.com with respect to the Affiliate Program.
  • Severability: If any provision of this Affiliate Agreement is declared invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Failure to enforce any provision or right under this Agreement shall not constitute a waiver of that provision or right.
  • No Third-Party Beneficiaries: This Affiliate Agreement does not create any rights in favor of third parties.
  • Assignment: You may not assign or transfer this Affiliate Agreement without our prior written consent. Registros.com reserves the right to assign or transfer this Affiliate Agreement at its sole discretion.
